Company registration for foreign directors

BizPortal cannot register a Pty when a director holds only a passport. We file on CIPC eServices for foreign nationals and mixed boards.

Why BizPortal fails

CIPC's BizPortal checks directors against Home Affairs identity numbers. If any incorporator has only a passport, that wizard stops. The lawful path is CIPC eServices: certified passport copies, a South African registered address, standard Pty documents (MOI, share allocation, beneficial owners), and the same statutory filing fee CIPC charges everyone else.

Documents we typically need

• Certified colour passport copy for each non-SA director (commissioner of oaths).
• South African ID copies for any SA directors on the same board.
• Proof of the company's registered office in South Africa.
• Up to four proposed names, with (Pty) Ltd on private companies.
• Shareholder split adding to 100%, including foreign holding companies if used.
• Natural persons behind any corporate shareholder (beneficial ownership).

How we file

CIPC Partners is a private filer. We prepare the eServices application, check name availability, track queries, and keep you on email. We are not the Commission. You still pay CIPC's statutory fee as part of the government process. Our packages start at R795 for the service layer — the same list price as the SA-citizen pack, because the extra work is documents and portal path, not a different CIPC tariff.

Mixed boards (one SA ID plus one passport) still fail BizPortal if any director cannot pass the ID check. Treat mixed boards as an eServices file from day one. After CoR14.3, plan extra time for SARS eFiling and bank KYC — those steps sit outside CIPC.

Timeline

Name clearance is still 2–5 business days when the list is clean. Incorporation after a complete eServices pack is often similar to a local Pty (about 3–10 business days) unless CIPC queries passport certification or address proof. Banking can add weeks. If you have a deadline to invoice in the company name, start KYC documents in parallel with the CIPC file.

Questions

Can a foreign national be a director of a South African Pty Ltd?

Yes. CIPC allows non-resident directors. The filing path is eServices with certified passport copies, not BizPortal’s Home Affairs ID check.

Do I still need a South African registered address?

Yes. A physical registered office in South Africa is required. A PO Box is not enough. Many founders use an accountant, attorney, or virtual-office provider for that address.

Will SARS and banks accept a passport-only director?

The company can exist at CIPC, but banks and SARS KYC are stricter. Expect extra certified copies, proof of address, and longer onboarding than an all-SA-ID board.
